OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES SHALL NOT EXCEED THE GREATER OF:

THE AMOUNT YOU PAID TO TALKRALLY IN THE PRIOR SIX (6) MONTHS; OR
ONE HUNDRED U.S. DOLLARS ($100).

You agree to defend, indemnify, and hold harmless TalkRally and its affiliates, owners, officers, employees, contractors, and licensors from claims, liabilities, damages, losses, expenses, and legal fees arising from:

Your infringement of third-party rights.

These Terms are governed by the laws of the State of Louisiana and applicable United States law, without regard to conflict of law principles.

Subject to the arbitration provisions above, disputes shall be brought exclusively in state or federal courts located in Louisiana.

27. Miscellaneous Provisions

Failure to enforce any provision is not a waiver;
If any provision is unenforceable, remaining provisions remain valid;
These Terms constitute the entire agreement between you and TalkRally;
You may not assign these Terms without written consent;
Headings are for convenience only;
Claims must be brought within one (1) year unless prohibited by law.
